This REGISTRATION RIGHTS AGREEMENT dated February 5, 2015 (the “Agreement”) is entered into by and among Netflix, Inc., a Delaware corporation (the “Company”), the Guarantors from time to time party hereto (the “Guarantors”), and Morgan Stanley & Co. LLC (“Morgan Stanley”), as representative of the several Initial Purchasers listed on Schedule 1 hereto (the “Initial Purchasers”).
