This PURCHASE AND SALE AGREEMENT (this “Agreement”), dated as of December 15, 2014, is made and entered into by and between Kimpton Group Holding LLC, a Delaware limited liability company (“Seller”), and Dunwoody Operations, Inc., a Delaware corporation (“Buyer”).
