This COOPERATION AGREEMENT is made and entered into as of February 25, 2015 (the “Agreement”) by and among USA Truck, Inc., a Delaware corporation (the “Company”), and Stone House Capital Management, LLC, a Delaware limited liability company, SH Capital Partners, L.P., a Delaware limited partnership, and Mark Cohen (collectively, the “Investor”). The Company and the Investor are referred to herein as the “Parties.”
