Compensation paid pursuant to the award is intended to qualify as performance-based compensation under Section 162(m) of the Internal Revenue Code of 1986 (the “Code”). By accepting this award through the on-line system used by the Company to administer the Plan, the Employee agrees to all of the terms and conditions of this Agreement.
