This ASSET PURCHASE AGREEMENT (the “Agreement”) dated as of March 11, 2015, is made and entered into by and among (i) HORIZON LINES OF PUERTO RICO, INC., a Delaware corporation (“Horizon PR”), (ii) HORIZON LINES, LLC, a Delaware limited liability company (“Horizon” and collectively with Horizon PR, are hereinafter referred to as, the “Sellers”), and LUIS A.
