THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made and entered into as of March 17, 2015, by and among Ignyta, Inc., a Delaware corporation (the “Company”), and Cephalon, Inc., a Delaware corporation (the “Stockholder”). Each of the Company and the Stockholder may be referred to in this Agreement as a “Party,” and, collectively, as the “Parties.” Capitalized terms used but not otherwise defined herein have the meanings assigned such terms in Section 11 of this Agreement.
