THIS CONSORTIUM AGREEMENT is made as of March 16, 2015 (this “Agreement”) among Ningxia Yilida Capital Investment Limited Partnership (“Yilida”), a limited partnership formed under the laws of the People’s Republic of China and controlled by Mr. Yingfeng Zhang, Ningxia Zhongyincashmere International Group Co., Ltd. (“Zhongyincashmere”), a company formed under the laws of People’s Republic of China, Orient Hongtai (Hong Kong) Limited, a company incorporated and existing under the laws of Hong Kong (“Hongtai”), Orient Hongzhi (Hong Kong) Limited, a company incorporated and existing under the laws of Hong Kong (“Hongzhi”) and Hao Ding International Limited, a British Virgin Islands company (“Hao Ding”). Each of Yilida, Zhongyincashmere, Hongtai, Hongzhi, Hao Ding and the Sponsors (as defined below), if any, is referred to herein as a “Party”, and collectively, the “Parties”.
