This Financing and Security Agreement (“Agreement”) is made and entered into on March 9, 2015 by and between Local Corporation (“Seller”), and Fast Pay Partners LLC, a Delaware limited liability company (“Purchaser”). Seller has agreed to sell and Purchaser has agreed to purchase Accounts for which Purchaser will make Advances of the Purchase Price. Purchaser is agreeable to providing this facility, provided that Seller agrees to the provisions of this Agreement.
