THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is effective as of the 31st day of March, 2015 (the “Effective Date”), between UTi, Services, Inc., a California corporation (the “Company”), and Rick Rodick (“Executive”). This Agreement amends and restates in all respects the Employment Agreement dated as of September 8, 2012 between the Company and Executive (the “Prior Agreement”).

This SEPARATION AGREEMENT AND GENERAL RELEASE (this “Agreement”) is between UTi, Services, Inc. (“Company”) and Jeffrey Hammond (“Employee”). This Agreement shall be effective on the date that Employee signs this Agreement (the “Agreement Date”). However, Employee shall not be entitled to any of the consideration described in Section 3 below unless Employee does not revoke the releases provided for in Sections 5 and 6 of this Agreement in accordance with Section 8 below.
