THIS AGREEMENT by and between Freshpet, Inc., a Delaware corporation (the “Company”), and Richard Kassar (the “Executive”), is dated as of October 31, 2014, but shall be effective only upon the earlier to occur of January 1, 2015 and the effective date of the initial public offering of equity securities of the Company pursuant to an offering registered under the Securities Act of 1933 (such earlier date, the “Effective Date”).
