THIS PARTICIPATION AGREEMENT (“Agreement”), made as of this 1st day of March , 2015 by and among New York Life Insurance and Annuity Corporation (the “Company”), a life insurance company organized under the laws of the State of Delaware, on its behalf and on behalf of each segregated asset account set forth on Schedule A attached hereto as it may be amended from time to time by mutual Written agreement of the Parties hereto (the “Separate Accounts”); Columbia Funds Variable Series Trust II, a business trust organized under the Laws of Massachusetts (the “Trust”), on behalf of each series, individually and not jointly, set forth on Schedule B attached hereto as may be amended from time to time by mutual written agreement of the Parties hereto (each a “Fund” and collectively, the “Funds”); and Columbia Management Investment Distributors, Inc. , a Delaware corporation (the “Distributor”) (each a “Party,” and collectively, the “Parties”).
