This AMENDED AND RESTATED SHAREHOLDERS’ AGREEMENT, dated as of November 19, 2014, by and between (1) Banco Bilbao Vizcaya Argentaria, S.A. a company organized under the laws of the Kingdom of Spain (the “BBVA Shareholder”) and (2) Dogus Holding A.S.
