This Liquidating Trust Agreement (the “Trust Agreement”), is being entered into as of May 6, 2015 (the “Effective Date”), by and between Sooner Holdings, Inc., f/k/a Syntroleum Corporation, a Delaware corporation (“Sooner”), and Karen L.
