This SEPARATION AND DISTRIBUTION AGREEMENT, dated as of [ ], 2015 (this “Agreement”), is between TriMas Corporation, a Delaware corporation (“TriMas”), and Horizon Global Corporation, a Delaware corporation (“Horizon”).
