This OPERATING AGREEMENT (the “Agreement”) is entered into as of September 1, 2014, by and between Meritage Homes of Georgia, Inc., an Arizona corporation, as a Manager (in such capacity, “Manager”) and the sole Member (in such capacity, “Member”) of the Company, and Ronald A. Machler (“Machler”), as an Additional Manager of the Company.
