THIS AMENDMENT TO THE OPERATING AGREEMENT (this “Amendment”) of Halyard Sales, LLC a North Carolina limited liability company (the “Company”), made effective as of October 31, 2014 (the “Effective Date”), is made by Halyard Health, Inc. constituting the sole member of the Company (the “Member”).

Supplemental Indenture (this “Supplemental Indenture”), dated as of October 31, 2014, among Avent Inc., Halyard Healthcare, Inc., Halyard Sales, LLC and Halyard North Carolina, Inc. (together, the “Guaranteeing Subsidiaries” and each the “Guaranteeing Subsidiary”), all Subsidiaries of Halyard Health, Inc., a Delaware corporation (“the “Issuer”), the Issuer, and Deutsche Bank Trust Company Americas, a New York banking corporation, as trustee (the “Trustee”).
