(“Coast”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) with LKQ Corporation (“LKQ”), its wholly-owned subsidiary, Keystone Automotive Operations, Inc. (“Keystone”) and KAO Acquisition Sub, Inc., a wholly-owned subsidiary of Keystone (“Purchaser”).
