THIS AMENDED AND RESTATED CHANGE IN CONTROL AGREEMENT is made and entered into as of this 25th day of July, 2008 by and among WESBANCO, INC., a West Virginia bank holding company (hereinafter referred to as the “Company”); and WESBANCO BANK, INC., a West Virginia banking corporation and a wholly-owned subsidiary of the Company (hereinafter referred to as the “Bank”); and JAYSON M. ZATTA (hereinafter referred to as the “Executive”).
