This Purchase and Sale Agreement is dated July 24, 2015, but effective for all purposes as of the Effective Time (defined below), by and between Goodrich Petroleum Company, L.L.C., a Louisiana limited liability company (“Seller”), and EP Energy E&P Company, L.P., a Delaware limited partnership (“Buyer”). Seller and Buyer are sometimes collectively referred to herein as the “Parties” and individually referred to as a “Party.”
