This INVESTMENT AGREEMENT (this “Agreement”), dated as of August 4, 2015, is by and among Motorola Solutions, Inc., a Delaware corporation (together with any successor or assign pursuant to Section 6.07, the “Company”), Silver Lake Partners IV, L.P., a Delaware limited partnership (together with its successors and any Affiliate that becomes a Purchaser 1 party hereto in accordance with Section 4.02 and Section 6.07, “Purchaser 1”) and Silver Lake Partners IV Cayman (AIV II), L.P., a Cayman Islands exempted limited partnership (together with its successors and any Affiliate that becomes a Purchaser 2 party hereto in accordance with Section 4.02 and Section 6.07, “Purchaser 2” and collectively with Purchaser 1, the “Purchaser”). Capitalized terms not otherwise defined where used shall have the meanings ascribed thereto in Article I.
