This Third Amended and Restated EMPLOYMENT AGREEMENT (the “Agreement”) made and entered into by and between GigOptix, Inc., a Delaware corporation (the “Company”) and Raluca Dinu (the “Executive” and, with the Company, the “Parties”), dated as of August 3, 2015 (the “Effective Date”), amends and restates in its entirety, Executive’s Second Amended and Restated Employment Agreement with the Company dated as of December 17, 2014.
