CREDIT AGREEMENT dated as of August 17, 2012, among NAVISTAR, INC., a Delaware corporation (the “Borrower”), NAVISTAR INTERNATIONAL CORPORATION, a Delaware corporation (“Parent”), the LENDERS party hereto and JPMORGAN CHASE BANK, N.A., as Administrative Agent and Collateral Agent, as amended as of April 2, 2013 by the First Amendment (as defined below) and as amended and restated as of August 7, 2015 by the Amendment and Restatement Agreement (as defined below).
