THIS SHARE PURCHASE AGREEMENT (“Agreement”), dated as of the 4th day of November, 2014 is by and among GREAT LAKES ENVIRONMENTAL AND INFRASTRUCTURE SOLUTIONS, LLC, a Delaware limited liability company (“Purchaser”), and MAGNUS PACIFIC CORPORATION, a California corporation (the “Company”) and the sellers identified on Exhibit A attached hereto (collectively, the “Sellers”), (collectively, the “Sellers” and individually, a “Seller”), and, solely for purposes of Section 1.04 and Section 6.02(c), Great Lakes Dredge & Dock Corporation, a Delaware corporation (“GLDD”).
