WHEREAS, Pacific Life Insurance Company (“Company”) and J. P. Morgan Investment Management Inc. (“JPMIM”), have entered into a Supplemental Payment Agreement dated June 10, 2004 as amended January 1, 2010 and December 17, 2014, (the “Agreement”); and
