THIS MEMBERSHIP INTEREST PURCHASE AGREEMENT (together with the exhibits and schedules hereto, this “Agreement”) is dated as of October 28, 2015, by and among MURPHY OIL USA, INC., a Delaware corporation (“Seller”) and GREEN PLAINS INC., an Iowa corporation (“Buyer”).
