This THIRD AMENDED AND RESTATED TRUST AGREEMENT (this “Trust Agreement”) of NUVEEN GRESHAM DIVERSIFIED COMMODITY ETF (formerly known as NUVEEN DIVERSIFIED COMMODITY FUND) is made and entered into as of the [ ] day of [ ], 2015, by and among NUVEEN COMMODITIES ASSET MANAGEMENT, LLC, a Delaware limited liability company, as manager (the “Manager”), WILMINGTON TRUST COMPANY, a Delaware trust company, as trustee (the “Resident Delaware Trustee”), and the SHAREHOLDERS from time to time hereunder.
