THIS STOCK PURCHASE AND STANDSTILL AGREEMENT (this “Agreement”) made and entered into as of this 18th day of December, 2015 among Donegal Mutual Insurance Company, a Pennsylvania mutual fire insurance company, with its principal offices at 1195 River Road, Marietta, Pennsylvania 17547 (“DMIC”), Donegal Group Inc., a Delaware corporation with its principal offices at 1195 River Road, Marietta, Pennsylvania 17547 (“DGI”, and, together with DMIC, the “Purchasers”), and Gregory M.
