Effective as of , the Organization and Compensation Committee (the “Committee”) of the Board of Directors (the “Board”) of StanCorp Financial Group, Inc., an Oregon corporation (the “Company”), has approved, and the Company hereby grants, a performance-based cash award to (the “Employee”) on the terms and conditions of this Long-Term Incentive Award Agreement (this “Agreement”).
