THIS SEPARATION AGREEMENT (this “Agreement”) is made and entered into as of March 13, 2016, by and between Xenia Hotels & Resorts, Inc., a Maryland corporation (the “Company”), XHR Management, LLC, a Delaware limited liability company (“XHR Management”), XHR LP, a Delaware limited partnership (the “Partnership”), and Andrew J. Welch (“Welch”).
