(the “Domestic-funded Company”)were altered from Linyu, Zhou Xu, Shi Wenyong(the “former shareholders of the Domestic-funded Company”) to Guo Lingyun, Zhou Xu, Shi Wenyong, and all parties aforementioned have already reached an agreement concerning the abovementioned shareholders alteration. Party A, shareholders of Party B and Party C have reached LOAN AGREEMENT and LOAN AGREEMENT concerning the capital increment respectively in June 5, 2007 and June 6, 2012(the “Original Agreement”), the Original Agreement shall be revised and restated due to the alteration of debtor-creditor relationship hereof, therefore the Original Agreement shall be terminated upon the date when this Agreement come into effect, provisions of rights and obligations of each party hereto shall be subject to this Agreement.
