THIS SHARE PURCHASE AGREEMENT (this “Agreement”), dated as of April 5, 2016, is made by and among Halyard Health, Inc., a Delaware corporation (the “Purchaser”), Medsystems Holdings, Inc., a Delaware corporation (the “Company”), and Medsystems Holdings, LLC (the “Seller”).
