THIS AGREEMENT is made and entered into as of this 1st day of April, 2014 by and between Kalmar Pooled Investment Trust, a Delaware business trust (the “Client”) and Foreside Funds Distributors LLC, a Delaware limited liability company (the “Distributor”).

THIS AGREEMENT as originally entered into as of the 20th day of April, 2013 and amended and restated on April 1, 2014 and on April 1, 2015, is hereby amended and restated on April 1, 2016 by and between KALMAR INVESTMENT ADVISERS (the “Adviser”) and KALMAR POOLED INVESTMENT TRUST (the “Trust”), on behalf of Kalmar “Growth-with-Value” Small Cap Fund (the “Fund”).
