THIS AMENDMENT is made as of October 1, 2015 (the “Amendment”), to the Investment Subadvisory Agreement dated as of March 22, 2011, as amended from time to time (the “Agreement”), between Transamerica Asset Management, Inc. (“TAM”) and Systematic Financial Management L.P.
