THIS INVESTMENT ADVISORY AGREEMENT (this “Agreement”), effective as of the 1st day of February, 2016, is entered into by and between MATTHEWS A SHARE SELECTIONS FUND, LLC, a Delaware limited liability company (the “Company”), on behalf of each series of the Company listed in Appendix A hereto, as may be amended from time to time (individually, a “Fund” and collectively, the “Funds”) and MATTHEWS INTERNATIONAL CAPITAL MANAGEMENT, LLC, a limited liability company organized and existing under the laws of the State of Delaware (the “Advisor”).
