THIS AGREEMENT (the “Agreement”) is made and entered into this day of April 2016 by and among STATE FARM MUTUAL FUND TRUST, a Delaware statutory trust (the “Trust”), STATE FARM INVESTMENT MANAGEMENT CORP., a Delaware corporation (the “Adviser”), and RAINIER INVESTMENT MANAGEMENT, LLC, a Delaware limited liability company (the “Sub-Adviser”), relating to investment management services to be provided by the Sub-Adviser. This Agreement, which supersedes an existing sub-advisory agreement among these parties, shall become effective upon the closing of Manning & Napier, Inc.’s acquisition of the Sub-Adviser.
