EMPLOYMENT AGREEMENT made as of this 26th day of February, 2016, effective as of March 31st, 2016 (the “Effective Date”), by and among Cedar Realty Trust, Inc., a Maryland corporation (the “Corporation”), Cedar Realty Trust Partnership, L.P., a Delaware limited partnership (the “Partnership”), and Robin McBride Zeigler (the “Executive”).

This agreement (this “Loan Agreement” or “Agreement”) is made and entered into as of April 26, 2016, by and between CEDAR REALTY TRUST PARTNERSHIP, L.P., a Delaware limited partnership (the “Borrower”), REGIONS BANK (“Regions”), KEYBANK NATIONAL ASSOCIATION (“KeyBank”) and the several banks and other financial institutions as are, or may from time to time become parties to this Agreement (each a “Lender” and collectively, the “Lenders”), REGIONS CAPITAL MARKETS, BB&T CAPITAL MARKETS, KEYBANC CAPITAL MARKETS, and CAPITAL ONE, NATIONAL ASSOCIATION, as Joint Lead Arrangers and Joint Bookrunners, REGIONS BANK, BRANCH BANKING AND TRUST COMPANY, and CAPITAL ONE, NATIONAL ASSOCIATION as Co-Syndication Agents, and KEYBANK NATIONAL ASSOCIATION, as administrative agent for the Lenders (the “Administrative Agent”).
