Quanta Services, Inc., a Delaware corporation (the “Company”), hereby grants to Participant, pursuant to the provisions of the Quanta Services, Inc. Senior Leadership Annual and/or Long-Term Incentive Plan, as amended from time to time (collectively the “Incentive Plan”), a sub-plan of the Quanta Services, Inc. 2011 Omnibus Equity Incentive Plan, as amended from time to time in accordance with its terms (the “Plan”), an award (this “Award”) of the number of restricted stock units (the “Restricted Stock Units”) set forth on the Company’s electronic stock plan administration platform grant summary report for Participant (the “Grant Summary Report”), effective as of the “Date of Grant” set forth on the Grant Summary Report (the “Date of Grant”), upon and subject to the terms and conditions set forth in this Restricted Stock Unit Agreement (this “Agreement”), the Incentive Plan and the Plan, which are incorporated herein by reference.
