This Master Agreement for the Purchase of Smart Energy Services Software and Services (the “Master Agreement”) is made and entered into as of this 25th day of February, 2016 by and between Opower, Inc., a Delaware corporation with its principal place of business in Arlington, Virginia (“Company”), and: Baltimore Gas and Electric Company, a Maryland company with its principal place of business in Baltimore, Maryland (“BGE”); Commonwealth Edison Company, an Illinois corporation with its principal place of business in Chicago Illinois (“ComEd”); PECO Energy Company, a Pennsylvania corporation with its principal place of business in Philadelphia, Pennsylvania (“PECO”); and, acting as the respective agent of BGE, ComEd, and PECO, Exelon Business Services Company, LLC, a Pennsylvania limited liability company with its principal place of business in Chicago, Illinois, (“BSC”) (each of the Company, BSC, BGE, ComEd, and PECO may be referred to individually as a “Party” and collectively as the “
