Tesoro Logistics LP, a limited partnership organized under the laws of Delaware (the “Partnership”), and Tesoro Logistics Finance Corp., a Delaware corporation (together with the Partnership, the “Issuers”), propose to issue and sell to the several underwriters named in Schedule I hereto (the “Underwriters”), for whom Citigroup Global Markets Inc. is acting as Representative (in such capacity, the “Representative”), $250,000,000 aggregate principal amount of their 6.125% Senior Notes due 2021 (the “2021 Notes”) and $450,000,000 aggregate principal amount of their 6.375% Senior Notes due 2024 (the “2024 Notes” and, together with the 2021 Notes, the “Notes”), which will be unconditionally guaranteed on a senior unsecured basis as to principal, premium, if any, and interest (the “Guarantees”) by the subsidiaries of the Partnership named in Schedule II hereto (each, a “Guarantor” and, collectively, the “Guarantors”).
