Cheniere Corpus Christi Holdings, LLC a Delaware limited liability company (the “Issuer”), proposes to issue and sell to Morgan Stanley & Co. LLC and the initial purchasers named in Schedule A hereto (collectively, the “Initial Purchasers”), for whom Morgan Stanley & Co. LLC is acting as Representative, upon the terms set forth in a purchase agreement dated May 12, 2016 (the “Purchase Agreement”) by and among the Issuer, Corpus Christi Liquefaction, LLC (“CCL”), Cheniere Corpus Christi Pipeline, L.P.
