This Agreement and Plan of Reorganization (the “Agreement”) is made as of May 20, 2016 by and among Artisan Small Cap Value Fund (the “Acquired Fund”), a series of Artisan Partners Funds, Inc., a corporation organized and existing under the laws of the State of Wisconsin (“Artisan Partners Funds”), Artisan Mid Cap Value Fund (the “Acquiring Fund”), a series of Artisan Partners Funds, and, solely with respect to Section 6 hereof, Artisan Partners Limited Partnership, a limited partnership organized under the laws of the State of Delaware (“Artisan Partners”).
