(the “Company”), hereby grants shares of Common Stock of the Company, $.01 par value per share (the “Shares”), to the individual named below as the Grantee, subject to the terms and conditions set forth in this cover sheet, in the attached Employee Long Term Incentive and Retention Equity Award Agreement (together, the “Agreement”) and in the Company’s 2014 Omnibus Incentive Plan (the “Plan”).
