THIS MERGER PAYMENT AND RESTRICTIVE COVENANT (this “Agreement”) is made and entered into this 3rd day of May, 2016 by and between Bill D. Wright (“Executive”), Your Community Bankshares, Inc., an Indiana corporation (“Seller”), Your Community Bank (“Seller Sub”), Wesbanco, Inc., a West Virginia corporation (“Wesbanco”) and Wesbanco Bank, Inc.
