Unless otherwise specified by the Independent Compensation Forum, payment of shares of Common Stock in respect of an Early Award is expected to be made on or after January 1, 2019 but before May 15, 2019. Any payment of an Early Award will proportionately reduce the total number of shares to be delivered in 2020, 2021 and 2022. If the amount paid in respect of an Early Award exceeds the total amount earned based on performance throughout the full Performance Period, then no shares of Common Stock will be paid in 2020, 2021 or 2022, but the Grantee shall not be required to return or repay any of the amounts received pursuant to an Early Award.
