THIS ASSET PURCHASE AGREEMENT (this “Agreement”), dated as of April , 2016 (the “Effective Date”), is made by and between DAVID W. CARICKHOFF, as chapter 7 trustee of estate of Wave Systems Corp., Debtor under Case No. 16-10284 (KJC) (the “Seller” or “Trustee”), and CHIME INC., a Delaware corporation (“Buyer”).
