THIS AGREEMENT AND PLAN OF MERGER, dated as of August 29, 2016 (this “Agreement”), is entered into by and among USMD Holdings, Inc., a Delaware corporation (the “Company”), WellMed Medical Management, Inc., a Texas corporation (“Parent”), and Project Z Merger Sub, Inc., a Delaware corporation and a wholly-owned subsidiary of Parent (“Merger Sub”).
