THIS FIRST AMENDMENT TO CREDIT AGREEMENT (this “Amendment”) is dated as of August 29, 2016 and is entered into by and between CALAVO GROWERS, INC., a California corporation (the “Borrower”), the Lenders identified on the signature pages hereto and BANK OF AMERICA, N.A., as administrative agent for the Lenders (in such capacity, the “Administrative Agent”).
