THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of September 13, 2016, by and between Extreme Networks, Inc., a Delaware corporation (“Buyer”) and Zebra Technologies Corporation, a Delaware corporation (“Seller”). Buyer and Seller are each sometimes referred to herein individually as a “Party” and are collectively referred to herein as the “Parties.” Capitalized terms used and not otherwise defined herein have the meanings set forth in Article I below.

Reference is made to (a) that certain Credit Agreement, dated as of October 13, 2013, among Extreme Networks Inc, a Delaware corporation (the “Borrower” or “you”), the several lenders party thereto and Silicon Valley Bank (“SVB”), in its capacity as administrative and collateral agent for such lenders (in such capacity, the “Existing Agent”) (as amended prior to the date hereof, the “Existing Credit Agreement”), and (b) the “Loan Documents” defined in the Existing Credit Agreement (collectively, the “Existing Loan Documents”).
