Aflac Incorporated, a Georgia corporation (the “Company”), proposes, subject to the terms and conditions stated herein, to issue and sell to the Underwriters named in Schedule I hereto (the “Underwriters”), for whom you are acting as representatives (the “Representatives”), an aggregate of $300,000,000 principal amount of the 2.875% Senior Notes due 2026 (the “2026 Notes”) and an aggregate of $400,000,000 principal amount of the 4.000% Senior Notes due 2046 (the “2046 Notes”, together with the 2026 Notes, the “Securities”).
