This Sub-License, License and Asset Purchase Agreement (this “Agreement”) is made and entered into as of 11/12 May 2016 (the “Effective Date”), by and among Prima Biomed Ltd ACN 009 237 889 (“Seller”), an Australian corporation listed on the Australian Securities Exchange and on the NASDAQ in the US, and Sydys Corporation, a Nevada corporation listed on the OTC Market under the symbol SYYC (“Purchaser”).
